Whereas * (Soccer Club Name) will be commonly referred to as “Soccer Club” in this agreement thereafter elects to participate in the SoccerClubCarFlags.com fundraising website for the benefit of its Member Families and the betterment of its Soccer Club.

It is agreed that your Soccer Club will:

Receive 10% of dollar sales collected based on Retail Price of items sold to your Club Members.

Percentage% of dollar sales excludes shipping/handling costs and taxes collected from sales of products.  Only applies to the Retail Price that the products are actually sold for through our website directly to your Member Families.  In addition, it excludes our Direct/ Buy Wholesale Program orders that your Club may wish to participate in.

You’re Soccer Club Logo Usage:
It is agreed that Soccer Club grants permission to Soccer Club Car Flags and Apparel, LLC dba www.soccerclubcarflags.com to use their club logo only for the above selected product lines.  Use of the soccer club logo is prohibited on any other product lines unless written permission is granted at some future date.

It is agreed that SoccerClubCarFlags.com will only sell Soccer Club logo products through its website unless written permission by Soccer Club’s President is granted to do otherwise.

It is agreed that Soccer Club will put a link on its homepage displaying the SoccerClubCarFlags.com SUV Logo or create a homepage tab titled “Car Flags - Window Stickers - Window Markers” or something to that effect. Whichever format fits best with your soccer club website.

Payments to Your Soccer Club:
Soccer Club will receive two payments a year based on their % of sales.  Each year on or about June 15th and December 15th checks will be issued and mailed to your Club.  Your percentage of sales will be based on orders that have been shipped as of those before mentioned dates.  Your first check will be mailed in December of the year of this agreement.

A comprehensive statement will be included with all payments verifying a true and accurate accountability from us to your respective Club.

It is mutually agreed that Soccer Club may hire and pay for on their own an Accounting Firm to audit our sales records if they feel inclined to do so

E-mail Promotions and Communications to Your Member Families:
Your Member Family’s e-mail addresses are privileged and confidential.  So, it is agreed that we will send our e-mail promotions to one contact person (ie: club administrator) designated by your Soccer Club who in turn will forward them to your Member Families.  This would include announcements of promotions or sales that we may hold from time to time.

Termination of This Agreement:
It is mutually agreed that Soccer Club and SoccerClubCarFlags.com may terminate this agreement at any time and for any reason.  Notification of termination must be in writing and sent via certified mail.  If Soccer Club terminates this agreement, they agree to allow SoccerClubCarFlags.com a 60 day liquidation of inventory sale and agree to communicate the liquidation via three (bi-weekly) e-mails to all of its Member Families.  The 60 day period will begin on delivery date of certified letter to SoccerClubCarFlags.com business address. At the time of the delivery date all liquidation sales made after delivery date of certified letter will cease all percentage of sales agreements between Soccer Club and SoccerClubCarFlags.com.  In addition, SoccerClubCarFlags.com reserves the right to withhold (not charge to your soccer club)) the following amounts if termination occurs in year 1- $300, year 2- $200, year 3- $100, year 4 and after $0 of Soccer Club’s past percentage of sales in an effort to recoup costs associated with termination of this agreement.
